  • The fee is never charged to the client.
  • Either of us can stop on 30 days' notice.

1. How these terms apply

  1. 1.1

You apply online. When we approve you, we email a Partner Confirmation to the person you named as your authorised contact. These terms and the Partner Confirmation are our agreement. There is no signature page.

  2. 1.2

You apply for your business, not for an individual. You confirm that you are authorised to accept these terms for the business, that the business is a principal in its own right, and that it knows about and agrees to the referral fee in these terms.

  3. 1.3

The Partner Confirmation shows your business name and ABN, your referral fee, and the version of these terms that applies.

2. What we pay

  1. 2.1

We pay your business the fee in your Partner Confirmation, plus GST if you are registered for GST, for each Qualifying Referral.

  2. 2.2

A Qualifying Referral is a person you refer to us who retains us for a conveyancing or related property matter in New South Wales, Victoria or Queensland, and whose matter reaches completed settlement. You must have told them about your fee as clause 3.1 requires. If two partners refer the same person, the first referral we record counts.

  3. 2.3

In New South Wales, we pay a referral fee only where one of our solicitors handles the matter.

  4. 2.4

We pay after settlement and after our standard eligibility checks, by invoice. If you are registered for GST, you agree we may issue the invoice for you as a recipient created tax invoice. Tell us promptly if your ABN or GST status changes.

  5. 2.5

We pay your business only. We never pay an individual, and we do not give vouchers, gift cards or other benefits to individuals. You must not pass any part of the fee to an individual in connection with a referral to us unless your own obligations allow it and your business has approved it.

  6. 2.6

We never add the fee to the client's bill or recover it from the client.

3. What we ask of you

  1. 3.1

Before you refer a person to us, tell them that you receive a referral fee from us for the referral.

  2. 3.2

Make clear that they are free to choose any conveyancer or lawyer. Do not pressure or induce them to use us.

  3. 3.3

Do not describe us as an independent or impartial recommendation.

  4. 3.4

Do not try to influence our legal advice, our fees, how we handle the matter, or whether we keep acting for the client.

  5. 3.5

You are responsible for your own obligations, including under your licence, any industry code, and your duties to your own clients and principals. Check that receiving a referral fee is consistent with them before you accept these terms.

4. Client information

  1. 4.1

We tell you only that a matter has been opened from your referral. We tell you more only with the client's consent.

  2. 4.2

Keep confidential any information you receive about a client's matter, and use it only for the referral relationship.

  3. 4.3

We still pay every fee that is due, whether or not we can share details of a matter with you.

5. Our checks and records

  1. 5.1

We give each client written disclosure of the referral fee before they retain us. We keep a register of partners, referrals, disclosures and payments. You keep reasonable records of the people you refer and give us reasonable information we ask for to check these terms are met.

  2. 5.2

We may hold back a fee if our eligibility checks are not met, or if we reasonably believe you did not meet clause 3.

6. Changes and ending

  1. 6.1

Either of us can end the partnership at any time on 30 days' written notice.

  2. 6.2

We can end it immediately if you breach clause 2.5, 3 or 4, or if we reasonably believe the arrangement no longer meets the law or our professional obligations.

  3. 6.3

Fees for matters that settled before the partnership ended are still payable.

  4. 6.4

We may update these terms on 30 days' notice, including by email. An update applies only to referrals made after it takes effect. If you do not accept it, you can end the partnership before then.

7. Partnership Schedule

  1. 7.1

For some partners we agree a signed Partnership Schedule. It can change items such as the fee, the offices and states covered, reporting, co-marketing and the notice period. If it differs from these terms, the Schedule prevails.

  2. 7.2

    A Partnership Schedule cannot change clauses 2.3, 2.5, 2.6, 3 or 4.

8. The small print

  1. 8.1

These terms are governed by the law of New South Wales. Each of us submits to the courts of that State.

  2. 8.2

You may not transfer your rights under these terms without our written consent.
